NONDISCLOSURE AGREEMENT

THIS NONDISCLOSURE AGREEMENT is between Local Web Solutions and it's Joint Venture Partners.

Local Web Solutions and it's Joint Venture Partners will be having virtual and face to face meetings and presentations which will involve the disclosure by Local Web Solutions (or its representatives) certain online marketing strategies, ideas, concepts, data, and client portfolios, in written, oral, electronic, and/or other forms, including without limitation information and data relating to helping clients to market their business online (collectively “Information”).

This Information shall be used by you solely for the purpose of promoting Local Web Solutions' ideas, strategies, products and services to clients.

Therefore, you as a Joint Venture Partner agree to use reasonable efforts to preserve in strict confidence any Information so disclosed, and shall advise your employees and/or agents to exercise at least the same degree of care to safeguard the confidentiality of the Information as you would exercise to safeguard your own confidential information, and further agree not to use, disclose, or reproduce any such information without the specific written approval of Local Web Solutions. 

You as a Joint Venture Partner further agree not to disclose the specifics of such Information to competitors of Local Web Solutions for any purpose.

On the termination of this business arrangement, the Joint Venture Partner agrees to return promptly all copies of any material received under this agreement.

Both parties agree to:

1. Act in good faith and carry out their responsibilities to the best of their abilities.

2. Use an arbitrator to settle any dispute that arises from interpretations of the terms of this agreement. All disputes will be submitted to arbitration under the rules of the Australian Arbitration Association and the findings of the arbitrator will be binding on all parties. All arbitration will take place in the state of Queensland and interpretation of this agreement shall be governed by the laws of the state of Queensland.
